ProPlay: Letter of Agreement This will serve as a letter of agreement between ______________________________________________ (The Playwright) and ProPlay. The Playwright grants ProPlay the non-exclusive right to post the text of plays submitted to either of the addresses below. The Playwright may submit all or a portion of a script. (To make ProPlay as effective a site for potential producers as possible, we encourage playwrights to post at least the first act of full-length plays, or, in the case of one-acts, at least one-half of the script.) ProPlay will make no alterations to the text, and, where possible, the Playwright's original format will be retained. The Playwright may choose to have the play posted in a printable format, or in a format which prevents copying and printing. ProPlay will credit the author and provide full copyright and contact information, as well as synopses of material and biographical information based on existing promotional or press copy. The Playwright warrants, and will provide documentation to confirm, that any plays submitted have received a full professional production. Full professional production will be the chief criteria for posting by ProPlay, although, in certain circumstances, plays which have received showcase or non-Equity productions will also qualify. (Please forward information.) ProPlay also reserves the right to refuse to post any script, at its sole discretion. The Playwright warrants that he or she is the sole owner of the copyright to any plays submitted, and is free to and has full authority to enter into this Agreement. In the event that any claim or action for infringement of copyright is brought against ProPlay in connection with the rights granted in this Agreement, the Playwright undertakes to indemnify ProPlay and hold it harmless against such claim or action. The Playwright will continue to retain full copyright, and ProPlay will have no participation rights in royalties from future productions or publication. Negotiation of production rights will remain the responsibility of the Playwright or his or her agent. The Playwright may choose to participate in the "Tip the Playwright" program, which allows visitors to direct a payment in any amount over $1.00 to the Playwright. ProPlay will keep 20% of any such payments, and remit 80%, along with an accounting of payments received, to the Playwright on an annual basis. The Playwright will provide, in electronic form, the full text of any plays submitted, as well as, in either printed or electronic form, promotional and press materials which document the play's professional production and can be used by ProPlay to provide synopses and biographical information, and otherwise promote the play. Where possible, the Playwright will also provide a personal photo and production photos. Where a print edition of a play already exists, and where it does not contravene the Playwright's agreement with the publisher, ProPlay will undertake to provide a link for the convenience of visitors who prefer to buy the print edition. ProPlay reserves the right to carry advertising on the ProPlay website, but no advertising will be carried on the same page as the text of a play. ProPlay may also link to printed editions of plays via such programs as Amazon.com Associates, which will allow ProPlay to receive a small percentage of the sale price of the printed edition. (This has no impact on either the Playwright's or publisher's revenues from such sales.) It is understood that this Agreement is terminable on thirty (30) days notice on either side.
